1. Service Description
Pocavalley, operated by Skillsauce.Tech Co., Ltd. ("Company," "we," "us"), provides enterprise AI consulting services including but not limited to:
- AI strategy development and roadmap planning
- Machine learning model development and deployment
- Generative AI implementation and integration
- Data architecture and analytics consulting
- AI training, workshops, and capability transfer
- Platform development and technical advisory
Specific deliverables, timelines, and scope are defined in individual Statements of Work (SOW) or engagement agreements executed between the parties.
2. Engagement & Acceptance
Services are initiated upon mutual execution of an engagement agreement or SOW. By submitting a consultation request through our website, you express interest in our services but do not create a binding obligation until a formal agreement is signed by both parties.
We reserve the right to decline any engagement at our discretion. All proposals and quotations are valid for 30 days unless otherwise specified.
3. Fees & Payment
- Pricing: Fees are quoted in Thai Baht (THB) or US Dollars (USD) as specified in each SOW
- Payment Terms: Invoices are due within 30 days of issuance unless otherwise agreed
- Engagement Models: Time & Materials (T&M), Fixed Price, or Retainer — as specified per engagement
- Expenses: Pre-approved travel and out-of-pocket expenses are billed at cost
- Late Payment: Overdue invoices accrue interest at 1.5% per month or the maximum rate permitted by Thai law
- Taxes: All fees are exclusive of VAT (7%) and other applicable taxes, which will be added to invoices
4. Intellectual Property
Unless otherwise specified in the SOW:
- Client Deliverables: Custom work product created specifically for the client becomes client property upon full payment
- Pre-existing IP: Each party retains ownership of its pre-existing intellectual property
- Methodologies: Pocavalley retains ownership of its frameworks, methodologies, tools, and general know-how
- License: We grant clients a non-exclusive license to use our methodologies as applied to their deliverables
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information received during the engagement. Confidential information includes business plans, technical data, client lists, pricing, and any information marked as confidential.
Confidentiality obligations survive for 3 years after the termination of the engagement, except for trade secrets which remain confidential indefinitely.
6. Limitation of Liability
To the maximum extent permitted by Thai law:
- Our total liability for any claim arising from services shall not exceed the fees paid for the specific engagement giving rise to the claim
- We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption
- We do not guarantee specific business outcomes or ROI from AI implementations, although we strive for measurable results
- Client is responsible for validating and testing all deliverables before production deployment
7. Warranties & Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Beyond this:
- Services are provided "as is" without warranties of merchantability or fitness for a particular purpose
- We do not warrant that AI models will achieve specific accuracy levels or performance metrics without testing
- Third-party tools and platforms used in our solutions are subject to their own terms and warranties
8. Termination
Either party may terminate an engagement with 30 days' written notice. Additional terms:
- Client shall pay for all services rendered and expenses incurred up to the termination date
- Immediate termination is permitted for material breach that remains uncured after 15 days' written notice
- Upon termination, each party shall return or destroy confidential information of the other party
- Sections on confidentiality, IP, liability, and governing law survive termination
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand.
Any dispute arising from or in connection with these Terms shall be resolved as follows:
- Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation within 30 days
- Mediation: If negotiation fails, disputes shall be submitted to mediation administered by the Thailand Arbitration Center (THAC)
- Arbitration: If mediation fails within 60 days, disputes shall be finally resolved by arbitration under THAC rules, conducted in Bangkok, Thailand
- Language: Arbitration proceedings shall be conducted in Thai, with English translation available upon request
10. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, pandemics, government actions, war, terrorism, or significant disruptions to internet infrastructure or cloud services.
11. Website Terms
By accessing our website, you agree to:
- Use the website only for lawful purposes and in accordance with these Terms
- Not attempt to gain unauthorized access to our systems or data
- Not reproduce, distribute, or modify website content without written permission
- Accept that website content is for informational purposes and does not constitute professional advice
